Terms of Service

By accessing or using the Staredge platform ("Platform"), operated by Staredge Energy Private Limited("Staredge", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

Staredge is a cloud-based operating system purpose-built for solar EPC (Engineering, Procurement & Construction) companies. The Platform provides tools and features including, but not limited to:

• 3D rooftop design — interactive solar panel layout and shading analysis tools for residential and commercial projects.
• Proposal generation — professionally branded solar proposals with financial projections, system specifications, and savings estimates.
• Bill of Quantities (BOQ) — automated material lists, cost breakdowns, and procurement planning.
• CRM & lead management — customer relationship tools to track leads, follow-ups, and conversions.
• Project management — milestone tracking, task assignment, site surveys, and team collaboration features.
• Finance & invoicing — invoice generation, payment tracking, and financial reporting for solar projects.
• Books & accounting — integrated bookkeeping and ledger management for EPC businesses.

We may add, modify, or discontinue features at our discretion. We will make reasonable efforts to notify active users of significant changes.

To access the Platform, you must create an account. By registering, you agree to:

• Provide accurate information — all registration details (name, email, company name, phone number) must be truthful, current, and complete.
• Maintain account security — you are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately at info@staredgenergy.com if you suspect unauthorised access.
• One account per person — sharing credentials across multiple individuals is not permitted unless you are on a team plan with designated sub-accounts.
• Age requirement — you must be at least 18 years of age to create an account and use the Platform.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or harmful behaviour.

Staredge offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Billing cycle — subscriptions are billed on a monthly or annual basis as selected at the time of purchase. The billing cycle begins on the date of your first payment.
• Automatic renewal — all subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Price changes— we may adjust pricing with at least 30 days' written notice. Existing subscribers will be notified via email and in-app notification before any price increase takes effect.
• Taxes — all prices are exclusive of applicable taxes (GST, VAT, etc.) unless explicitly stated. You are responsible for paying any taxes associated with your subscription.
• Failed payments — if a payment fails, we may retry the charge and/or suspend access to premium features until the outstanding amount is settled.

• Cancellation — you may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.
• Refunds — payments are generally non-refundable. However, if you experience a significant service disruption caused by Staredge, you may request a pro-rata refund by contacting us at info@staredgenergy.com. Refund requests are evaluated on a case-by-case basis.
• Free trial — if we offer a free trial period, you will not be charged until the trial expires and your subscription converts to a paid plan. You may cancel before the trial ends to avoid charges.

You agree to use the Platform only for lawful purposes related to your solar EPC business. You must not:

• Use the Platform for any illegal, fraudulent, or harmful activity.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Platform's software or infrastructure.
• Upload, transmit, or store malicious code, viruses, or any content designed to disrupt or compromise the Platform.
• Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
• Impersonate another person, entity, or Staredge employee.
• Interfere with or disrupt the integrity or performance of the Platform or its infrastructure.
• Resell, redistribute, or sublicense access to the Platform without our explicit written approval.
• Use the Platform to store or process data that violates any applicable data protection or privacy law.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

• Our IP — the Platform, including its design, source code, algorithms, logos, trademarks, documentation, and all underlying technology, is the exclusive property of Staredge Energy Private Limited and is protected by Indian and international intellectual property laws.
• Your content— you retain full ownership of all data, designs, proposals, documents, and other content you create or upload to the Platform ("User Content"). By using the Platform, you grant Staredge a limited, non-exclusive, royalty-free licence to process, store, and display your User Content solely for the purpose of providing and improving the Platform.
• Feedback — if you provide suggestions, ideas, or feedback about the Platform, you grant us an irrevocable, perpetual, royalty-free licence to use and incorporate such feedback without any obligation to you.

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

• Data ownership — you own your data. We do not sell, share, or monetise your User Content or personal information with third parties for advertising purposes.
• Data portability — you may request an export of your data in machine-readable format (JSON/CSV) at any time.
• Data deletion — upon account termination, your data will be retained for 90 days (to allow for recovery) and then permanently deleted, unless longer retention is required by law.
• Security measures — we implement industry-standard encryption, access controls, and monitoring to protect your data. For full details, see our Privacy Policy.

We strive to maintain high availability and performance of the Platform. However:

• No guaranteed uptime— the Platform is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or continuously available service.
• Scheduled maintenance — we may perform planned maintenance during off-peak hours. We will notify users in advance when possible.
• Force majeure — we are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, power outages, internet failures, government actions, or cyberattacks.

To the maximum extent permitted by applicable law:

• Staredge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to Staredge in the 12 months preceding the claim.
• We are not responsible for the accuracy, completeness, or reliability of any solar design calculations, energy yield estimates, financial projections, or proposal content generated through the Platform. These outputs are tools to assist your professional judgement, not substitutes for it.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Platform will meet your specific requirements or expectations.
• Any warranty regarding the accuracy of solar design outputs, energy calculations, or financial estimates generated by the Platform.

You acknowledge that solar EPC projects involve numerous variables beyond the Platform's scope (site conditions, local regulations, equipment specifications, etc.) and that you are solely responsible for verifying all outputs before relying on them for business decisions or client-facing documents.

You agree to indemnify, defend, and hold harmless Staredge Energy Private Limited, its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any User Content you create, upload, or share through the Platform.

• By you — you may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to access the Platform ceases immediately, though you may request a data export before deletion.
• By us — we may suspend or terminate your account at any time, with or without cause, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Platform or other users.
• Effect of termination — upon termination, all licences granted to you under these Terms will immediately cease. Sections relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.

• Governing law — these Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
• Jurisdiction — any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
• Amicable resolution — before initiating any legal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of at least 30 days.

• Entire agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Staredge regarding the Platform and supersede all prior agreements or understandings.
• Severability — if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver — our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment — you may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices — all legal notices must be sent to info@staredgenergy.com. We may send notices to the email address associated with your account.
